General terms of scrap purchase agreements by Siglo Sp. z o.o.
- If you deliver scrap to Siglo, these general terms apply to you and Siglo. The legal basis for this is Article 384 § 2 and Article 384 § 4 of the Civil Code.
- Siglo acquires scrap upon receipt. Upon receipt of the scrap, all benefits and burdens, as well as the risk of accidental loss, damage or destruction of the scrap, pass to Siglo.
- The delivered scrap must comply with applicable regulations. It may not contain materials: (1) explosive, (2) corrosive, (3) radioactive, (4) toxic or (5) other materials hazardous to people and the environment. The scrap must also not contain closed vessels or containers (6) that may explode during processing.
- The scrap must be suitable for: (1) transport and (2) processing.
- By delivering scrap to Siglo, you must have the right to this scrap, you can freely sell it, by selling this scrap you do not violate any regulations or rights of third parties, and the scrap was not obtained as a result of a prohibited act (it is not stolen).
- If you deliver scrap to Siglo, you guarantee that it complies with the three above points.
- If Siglo has reason to believe that the scrap does not comply with any of the above three points, Siglo may not accept such scrap.
- If it happens that the delivered scrap does not meet points 4, 5 or 6 above and Siglo suffers any damage as a result, you will be liable for such damage – as it results from the Civil Code. For example, you may be charged with disposal, decontamination or site security costs.
- After receiving the scrap, Siglo will issue you a PZ document. Then you must issue Siglo a VAT invoice.
- The VAT invoice must be sent to the e-mail address: faktury@siglo.eu.
- After receiving the invoice, Siglo will confirm it by return e-mail. If you do not receive such an e-mail within 2 days of sending the invoice, contact the Siglo office at: biuro@siglo.eu to check if your invoice has reached Siglo.
- Siglo does not accept invoices issued before the PZ document is issued.
- Siglo will pay the amount due for the delivered scrap within 14 days of receiving the VAT invoice.
- If a dispute arises between you and Siglo regarding the delivery of scrap, it will be resolved by the common court competent for Siglo's registered office.
